SpaceX CEO Elon Musk's Approval Required in Potential Merger With Tesla
Space Exploration Technologies (SPCX) said its Chief Executive Officer Elon Musk's approval will be required for a merger with Tesla (TSLA), according to a regulatory filing Thursday.
SpaceX confirmed in the filing that its board has formed a special committee to evaluate a "potential combination." It also said that Tesla's board has formed a special committee to explore a possible merger.
"No determination by our special committee has been made regarding any potential combination, and any potential combination would be subject to further approval by our special committee, our board of directors, and our controlling shareholder," the SpaceX filing said.
In response to a question in Tesla's Q3 earnings call on Thursday, Musk said in reference to the potential merger: "Because I'm a conflicted party, I can't actually be in the discussions of the special committees. So, it's an odd kabuki dance where two groups of people are talking, and I can't be in the conversation."
